Alysha A. Yagoda is a transactional real estate attorney in Holland & Knight's Seattle office. Ms. Yagoda's practice focuses on commercial real estate, with a particular emphasis on the multifamily sector.
Ms. Yagoda represents owners and sponsors in the acquisition, financing, operation and disposition of multifamily and mixed-use assets, with a particular focus on negotiating purchase and sale agreements and advising on issues central to ongoing asset operations and management. Within the multifamily space, she advises institutional owners, operators and management platforms on portfolio-level operations, property diligence, financing considerations and long-term asset strategy. Ms. Yagoda's experience includes leading the negotiation of property management agreements and other operational documents, evaluating governance and indemnity structures, advising on compliance frameworks across national portfolios, representing borrowers in a range of financing structures, including Fannie Mae and Freddie Mac agency financings, and advising on sale leaseback transactions on the seller/lessee side.
Ms. Yagoda also maintains a substantial practice in land use, title and survey matters that directly impact the use, operation and management of real property. Her experience includes advising clients on utility easements, conservation and municipal easements, declarations, restrictive covenants and boundary line adjustments. Ms. Yagoda has extensive experience managing complex title and survey reviews, coordinating the resolution of encumbrances and advising clients on diligence-related risks across multifamily, mixed-use and agricultural assets. Her work frequently involves development-related diligence and operational issues in connection with the acquisition of newly constructed multifamily properties and the disposition of assets developed by clients from raw ground.
In addition to her multifamily practice, Ms. Yagoda supports Holland & Knight's mergers and acquisitions (M&A) teams on the real estate components of corporate transactions, with an emphasis on farming, agriculture and rural landholdings. Her work includes property diligence, land use and operational analysis, easement and water rights evaluations and negotiation of real estate transfer documentation for agribusiness clients. In Washington, Ms. Yagoda advises clients on emerging real estate laws and regulations, including broker licensing requirements and property manager regulatory obligations, and she counsels agricultural and rural landowners on water rights reporting, landholdings and related regulatory compliance.
Ms. Yagoda joined Holland & Knight's Seattle office at its inception and contributed to the launch of the office. She serves as the Seattle office coordinator for Holland & Knight's Women's Engagement Network and is a member of Commercial Real Estate Women (CREW) Seattle, where she serves on the Foundations Committee.
Prior to joining Holland & Knight, Ms. Yagoda practiced at a Seattle-based law firm on a range of real estate, commercial, healthcare transactional and research compliance matters. Earlier in her legal career, Ms. Yagoda served as a law clerk to the Honorable Ann Schindler of the Washington State Court of Appeals. Before law school, she worked in a healthcare regulatory role at a Seattle-area institutional review board.
