Tax attorney Don Stuart will speak at the American Health Law Association's (AHLA) Tax Issues for Health Care Organizations conference in Washington, D.C. The conference fosters a space for dialogue on taxation-related issues facing nonprofit healthcare organizations, from community benefit reporting to unrelated business income (UBI) activities to questions surrounding employment taxes. Mr. Stuart will present an overview of the deal documents involved in healthcare transactions, including mergers and acquisitions (M&A) agreements. He will break down typical provisions contained in these documents, such as representations and warranties, covenants and indemnification clauses. He will also talk about tax deliverables and tax filing requirements, explain which party is responsible for paying what at each stage of the transaction – before and after closing – and highlight the importance of due diligence and carefully reviewing disclosures to minimize the potential for post-closing disputes.

Mr. Stuart's session will take place on Sept. 11, 2025, from 1:30 – 2:45 p.m. ET and will be repeated on Sept. 12, 2025, from 9:15 – 10:30 a.m. ET.
