Tax Provisions in M&A Documents: Analyzing Purchase and Merger Agreements

Tax attorney Megan Jones will speak during a Los Angeles County Bar Association (LACBA) webinar teaching participants how to analyze and draft documents in mergers and acquisitions (M&A) transactions. Designed for newer tax practitioners, the presentation will cover the most important provisions in purchase and sales agreements and deal documents, including tax indemnities, representations and warranties, post-closing tax covenants and allocation of liabilities. Megan will also describe how to identify and rectify issues early, how to use agreement provisions to optimize tax treatment and how to triage problems during the negotiation process. The program will offer information useful not only for the drafting phase but also for the entire M&A life cycle.
