Holland & Knight Advises Grupo Energía Bogotá on $500 Million Issuance of Senior Notes

NEW YORK (October 22, 2025) – Holland & Knight represented Grupo Energía Bogotá S.A. E.S.P. (GEB) on its offering of senior notes, due 2035, in the international capital markets under Rule 144A/Reg S for a principal amount of $500 million. The notes will accrue interest at a 5.750 percent rate. The transaction closed on October 22.

GEB is a leading owner, developer and operator of natural gas and electricity infrastructure assets across Latin America, majority-owned by the district capital of Bogotá, with presence in Colombia, Peru, Guatemala and Brazil.

The offering attracted significant interest from a broad and diversified base of global institutional investors. Proceeds will be used to partially finance GEB's investment plan for 2023-2027, which may directly or indirectly enable potential development and further one or more of the United Nations Sustainable Development Goals.

BBVA Securities Inc., J.P. Morgan Securities LLC and Scotia Capital (USA) Inc. acted as joint bookrunners and joint lead managers. J.P. Morgan Securities LLC acted as development finance structuring agent. The notes are expected to be listed and admitted for trade on the Singapore Exchange.
