Overview

James "Ted" E. Long Jr. is a member of the Business Law Section where he practices primarily in the area of corporate law.

Mr. Long's practice includes the representation of both young companies and ventures at various stages of maturity, from incorporation to sale. He also has deep experience in representing institutional investors taking positions in early stage ventures as well as funds (venture capital, private equity, and hedge).

With regard to start-ups, Mr. Long has assisted clients with documents surrounding formation, protection of intellectual property, shareholder agreements, employment and consulting agreements, and the creation of omnibus stock incentive plans and grants. He has advised both investors and companies on legal and regulatory issues surrounding the placement of equity and debt. As clients have grown, he has assisted with general corporate management and contractual issues. Mr. Long has experience with both technology transfer and the licensing of intellectual property, including multi-million dollar contracts for the development, licensing, maintenance, and hosting of enterprise software packages. He has assisted clients in the sale of their business, via regulated transactions (Hart-Scott-Rodino), to Fortune 500 entities as well as to private equity firms.

Mr. Long's work for institutional investors has included the review of private placement memoranda and evaluation of legal documents including limited partnership agreements, operating agreements, and corporate governance documents of off-share entities. He has also been involved in the sale of interests in investment entities in the secondary market.

Mr. Long has also represented Fortune 500 Corporations before governmental entities in Rhode Island.

Prior to entering private practice with Holland & Knight, Mr. Long was Washington Counsel to United States Senator John F. Reed of Rhode Island, responsible for all legal issues before the Senator. In 2007, he served as the Transition Chair for Rhode Island Lieutenant Governor Elizabeth Roberts.
