James E. Long Jr.

James "Ted" E. Long Jr. is a member of Holland & Knight's Corporate, M&A and Securities Section, where he focuses his practice primarily on corporate law. Based in the Boston office, Mr. Long helps companies and investors navigate complex corporate and transactional matters across the full transaction life cycle.

Mr. Long represents buyers and sellers in mergers and acquisitions (M&A), investments in alternative funds and transactions involving early-stage companies. He represents buyers, including private equity-backed ventures executing roll-up strategies, and sellers in structuring and documenting acquisitions of closely held businesses. Most recently, he assisted with an insurance brokerage roll-up involving more than 175 acquisitions. Mr. Long handles every phase of a transaction, from letter of intent through closing and post-closing matters, including negotiation of purchase agreements, disclosure schedules and ancillary documents.

In fund investment matters, Mr. Long represents family offices, pension funds and community foundations in investments in venture capital, private equity and hedge funds, as well as acquisitions of fund interests through secondary purchases. He focuses on reviewing governing documents – including offering memoranda and limited partnership or limited liability company agreements – and negotiating side letters.

Mr. Long advises investors in early-stage companies on investment documentation, as well as diligence focused principally on formation and capitalization, intellectual property ownership and material contracts. He documents investments through convertible notes, Simple Agreement for Future Equity (SAFE) instruments, Series Seed and National Venture Capital Association (NVCA) documents, including for an early-stage venture capital firm based in Providence, Rhode Island.

Mr. Long focuses his pro bono work on equity and community engagement. Most recently, he helped incorporate the Rhode Island Black Women Lawyers Association and the South County Star. Additionally, Mr. Long serves on the board of directors for one of the nation's top 25 community foundations by assets, as well as on the board of a public charter middle school.

Prior to entering private practice, Mr. Long served as Washington counsel and interim chief of staff to U.S. Sen. John F. Reed (D-R.I.). He also served on the campaigns of U.S. Sens. Paul Simon (D-Ill.) and John Glenn (D-Ohio).
