Overview
Matthew Mauney is a tax attorney in Holland & Knight's Miami office. Mr. Mauney focuses his practice on corporate and international tax planning.
Mr. Mauney brings more than 16 years of experience in corporate and international tax, covering a broad range of issues, including outbound and inbound planning, intercompany restructurings, post-acquisition integrations, transfer pricing, Pillar 2 matters, and cross-border mergers and acquisitions (M&A).
Mr. Mauney's clients include both publicly traded and privately held multinational companies across a wide range of industries, including medical devices, pharmaceuticals, software and software as a service (SaaS), oil field services and professional services industries. He has also represented university systems on the tax aspects of partnerships with for-profits enterprises.
Prior to joining Holland & Knight, Mr. Mauney served as senior tax counsel at a publicly traded medical device manufacturer and health SaaS company with operations in more than 30 countries. In that role, he led global tax strategy, M&A and integration efforts, transfer pricing planning and policy, Pillar 2 analysis, and U.S. and European income tax audits.
Previously, Mr. Mauney was an attorney at a global law firm in its Houston office.
Representative Experience
- Advised a U.S. biopharmaceutical company on the impact of historic restructuring activities on tax basis and planned the repatriation of $800 million in cash through a stock redemption
- Advised on the tax aspects of a $350 million joint venture between a university and the U.S. subsidiary of a Japanese medical testing company, including the licensing of life science intellectual property (IP)
- Advised on the tax consequences of a taxable Section 331 liquidation of a publicly traded company and drafted the tax sections within the company's U.S. Securities and Exchange Commission (SEC) disclosure
- Provided advice on the U.S. federal income tax consequences of the $16 billion merger of two publicly traded semiconductor manufacturers
- Advised a multinational semiconductor manufacturer on the $5 billion acquisition of a publicly traded manufacturer of data and storage networking products
- Advised a university on tax aspects of a $2 billion project with a for-profit enterprise
- Advised a university on the tax aspects of its IP commercialization agreement with one of its top executives/researchers
- Advised an oil field services company on the tax aspects of a $6 billion merger with a Swiss company
- Advised a multinational oil and gas company on the tax aspects of the disposition of $1.4 billion in assets
- Advised a publicly traded Australian company on the $420 million acquisition of a multinational drilling services provider
- Guided a client through a $100 million withholding tax audit that resulted in a "no-change" letter
- Advised companies in the medical technology, pharmaceutical and medical device industries on the Section 7874 implications of potential mergers with foreign target companies
- Advised a multinational group of concessionaires and investors on entering a joint venture to develop and operate a $20 billion liquefied natural gas facility
- Advised a Norwegian client on alternative structures for investment into Mexico
- Assisted a Chinese-parented group in acquiring a U.S. industrial manufacturer
