Overview

Cristobal Ortiz Monasterio is a corporate attorney in Holland & Knight's Mexico City office. Mr. Ortiz Monasterio counsels domestic and cross-border parties in merger and acquisition (M&A) transactions, joint ventures and strategic partnerships involving public and private entities.

Mr. Ortiz Monasterio has experience representing issuers and financial institutions in a number of domestic and international, public and private, debt and equity offerings, as well as advising clients in the negotiation, structuring and drafting of commercial loans and other complex financings. In addition, he advises issuers and their boards of directors on reporting and other obligations under Mexican laws and corporate governance. He also advises on incorporation issues, day-to-day compliance obligations, corporate governance and resolution of shareholders' disputes.

Additionally, Mr. Ortiz Monasterio advises financial institutions such as domestic and international banks, investment advisers, brokerage houses and multiple purpose financial corporations (Sociedad Financiera de Objeto Múltiple or SOFOMs).

Prior to joining Holland & Knight, Mr. Ortiz Monasterio was an associate at the Mexico City office of a global law firm. While in law school, he served as a law clerk for a prominent Mexico City law firm.

Representative Experience

  • Represented a mining equipment manufacturer in Mexico in the sale of 100 percent of the shares issued by the company to a distributor of solutions line for sale and rental of heavy, agricultural and industrial machinery for an enterprise value of MX$300 million

  • Represented a Mexico City-based operator of quick service restaurants, coffee shops and casual dining establishments in Latin America and Europe, and its subsidiaries, in the renegotiation and refinancing of Alsea's debt before Mexican and international banks; the agreements reached with the financial institutions will allow Alsea to recover from the impact of the COVID-19 pandemic

  • Served as legal counsel to a Mexican company active in the international forestry sector in connection with a capital increase through subscription by the shareholders in accordance with their preemptive right, and subscription and payment by third parties for MX$659.9 million
  • Served as legal counsel to a Mexican company active in the international forestry sector in connection with a capital increase through subscription by the shareholders in accordance with their preemptive right, and subscription and payment by third parties for MX$356.4 million
  • Served as legal counsel to a Mexican company active in the international forestry sector in connection with a capital increase through subscription by the shareholders in accordance with their preemptive right, and subscription and payment by third parties for MX$82.6 million
  • Represented a limited-purpose financial entity – Sociedad Financiera de Objeto Múltiple (SOFOM), Entidad No Regulada – in connection with its MX$378 million equity raise
  • Served as legal counsel to a company that operates family fitness clubs in Mexico, in the refinancing of its debt; the agreements with the financial institutions will improve the company's debt structure and generate financial flexibility in a time of global uncertainty
  • Served as legal counsel to a Mexican company active in the international forestry sector in the development and implementation of a corporate and market strategy for the company's current shareholders to subscribe a portion of the shares held in its treasury (represented by Ordinary Participation Certificates or CPOs) through an initial subscription; the funds will allow the company to continue its business expansion and increase its commercial forest plantations portfolio
