Overview
Eric Wechselblatt is a partner in Holland & Knight's Tysons office. Mr. Wechselblatt represents clients in a variety of corporate and transactional matters, with an emphasis on mergers and acquisitions (M&A), equity financing transactions and general corporate counseling.
Mr. Wechselblatt has extensive experience leading teams in complex M&A transactions and reorganizations, including stock deals, mergers, asset deals, leveraged buyouts (LBOs), spinoffs, joint ventures and similar transactions. He represents private equity funds as well as public and private companies (as buyers and sellers) in a variety of industries such as software and other technologies, government contracting, aerospace and defense, technology-enabled services, cybersecurity, healthcare services, manufacturing, distribution, publishing, spirit brands and others.
Additionally, Mr. Wechselblatt has negotiated more than 500 equity financing transactions, ranging from seed to expansion round financings, and has represented the issuers in about half of these transactions and the investors in the other half. Accordingly, he understands the key drivers and issues that both parties face in these transactions.

- Represented RLH Equity Partners in the sale of Keystone, a global technology and advisory services company, to Audax Private Equity
- Represented Blue Wolf Capital in its sale of a majority stake in The State Group to funds associated with Apollo Global Management Inc.
- Represented Govini, an artificial intelligence (AI)-powered defense software firm, in its $150 million capital raise from Bain Capital
- Represented the founder of Prometheus Group in a strategic investment by Advent International and Leonard Green & Partners in the company
- Represented a healthcare services business in a $300 million expansion round
- Represented Fortreum – a leading cybersecurity services firm providing audit, advisory and technical testing, assisting companies in regulated industries with certifications, including Federal Risk and Authorization Management Program (FedRAMP), Cybersecurity Maturity Model Certification (CMMC), International Organization for Standardization (ISO), Payment Card Industry (PCI), System and Organization Control (SOC) and several others – in a majority growth recapitalization
