Retail Development and Leasing Partners Chris Brockman and Tara Scanlon will speak at the International Council of Shopping Centers (ICSC) U.S. Shopping Center Law Conference. Mr. Brockman will lead a breakfast roundtable program titled, "When the Landlord is No Longer the Developer: Purchasing an Outparcel and Dealing with Enforcement of Center-Wide Restrictions, Exclusives and Other Obligations When You Don't Own Center."

Ms. Scanlon will also speak at the conference, on a panel titled, "Real Estate Joint Ventures: Structuring, Restructuring and Documenting." The panel will discuss what shopping center lawyers need to know for structuring and restructuring real estate joint ventures to clean up the mess from the economic decline and to be ready for the future. Topics covered will include: management and control rights, including: major decisions; takeover rights; capital calls and dilution; exit provisions and deadlock provisions; special considerations applicable to tax-exempt investors or REITs; the effect of loan modifications and potential debt forgiveness; and selected tax issues.
