How Immigration Issues Can Sour M&A Deals

Labor & Employment attorney Christine Gay and corporate attorney Ashley Hamilton co-wrote an article for Law360 to explain the ways in which mergers and acquisitions (M&A) deals can be negatively affected when a party misrepresents its employees’ compliance with U.S. immigration laws.

They focus their discussion around E-Verify—a federal website operated by Homeland Security (DHS) and the Social Security Administration that allows businesses to determine the eligibility of their employees to work in the U.S., and a recent case that illustrates the danger of acquiring a company that employs numerous unauthorized workers.
