Business attorney Daniel Fajardo was cited in an Asuntos Legales article about the scope and limitations of non-disclosure agreements (NDAs) and the consequences of breaching them. The article detailed what information can be considered confidential, legal exceptions — such as reporting crimes or complying with lawful orders — and the importance of agreeing to clear penalty clauses with specified amounts, breach scenarios and effective enforcement mechanisms. Mr. Fajardo emphasized that no agreement can prevent compliance with legal obligations or substitute adequate controls against leaks or hacks.

"No contract can prevent a person from reporting a crime to the competent authorities, as this is a civic duty," he said. He also noted that the law provides exceptions to that reporting duty, "such as not being required to report against oneself, one’s spouse or permanent partner, or close family members."
