From Bureaucratic "Roadblock" to Motor for Profitability and Expansion for Companies
Corporate and transactional attorney Inés Elvira Vesga was interviewed by La República about the role of lawyers in mergers and acquisitions (M&A). Although legal counsel is often perceived as a series of obstacles to a company's operations, the reality is that due diligence, led by competent counsel, protects business and contributes to the success of a transaction and mitigation of risks. Inés Elvira highlighted two critical errors that can hinder or halt negotiations: involving an attorney at the last minute or in too limited a capacity, as well as isolating the target company's team.
"An M&A transaction requires a leader from start to finish. It is not wise to exclude the advisor from the negotiation rounds. The leader should have the complete picture," she said. "In-house attorneys are more and more sophisticated and have many more tools to identify risk camps."
