Overview
Joshua Berengarten is an attorney in Holland & Knight's New York office and a member of the Real Estate Section. Mr. Berengarten represents clients in a broad range of sophisticated real estate and transactional matters – including acquisitions and dispositions, financing, construction, development and leasing – across the commercial, retail, hospitality, mixed-use and residential sectors.
Mr. Berengarten serves as outside general counsel to several commercial real estate developers and family offices, overseeing and advising on the full spectrum of legal matters related to their real estate businesses. In this role, he works closely with clients throughout the life cycle of their investments and development projects, providing strategic and practical counsel on transactions, business matters and ongoing legal needs.
A significant portion of Mr. Berengarten's practice focuses on construction and real estate development matters. He regularly represents owners and developers in construction transactions and advises clients on issues that arise throughout the planning, development and construction process. He also provides ongoing project counsel in connection with active development projects, helping clients navigate contractual, operational and other project-related matters, and represents owners in the negotiation and settlement of construction-related disputes with contractors, design professionals and other project participants.
Mr. Berengarten routinely advises high-net-worth individuals and family offices in connection with the acquisition and disposition of commercial and ultra-luxury residential properties. His experience allows him to counsel clients on complex real estate investments that often intersect with broader family office, business and wealth planning objectives.
In addition, Mr. Berengarten serves as counsel to more than 100 condominium and cooperative boards, advising them on all matters relating to the ownership, operation and governance of their properties. He counsels boards on governing documents, board governance and fiduciary duties, building operations, unit sales, transfers and alterations, commercial and residential leasing, refinancing of underlying mortgages, capital improvement and construction projects, sponsor and transition issues, vendor and management contracts, and regulatory and compliance matters. Mr. Berengarten also assists boards in resolving disputes with shareholders, unit owners, neighbors and contractors.

- Represented a developer in the acquisition of numerous office and industrial properties throughout New York
- Represented an owner in the disposition of its shopping centers throughout the U.S.
- Represented a seller in the sale of an office building in Manhattan
- Represented a developer in the acquisition of a building in Manhattan for condominium redevelopment and subsequent sale of the garage, retail and office space
- Represented a foreign corporation in the sale of a historic property in Manhattan involving a settlement with the Landmarks Preservation Commission, New York City Law Department and various tenants
- Represented a developer in the acquisition of a gas station in Manhattan for condominium redevelopment
- Represented an international real estate fund in the acquisition and financing of a prominent building in California and in the development and financing of a multi-unit, mixed-use condominium project in downtown Manhattan
- Represented numerous sellers and purchasers in the bulk acquisition and sale of unsold cooperative and condominium units, including an estate in the sale of approximately 300 units in New York City
- Represented a developer in a more than $2 billion in aggregate financing for office, industrial and mixed-use properties throughout New York
- Represented a joint venture in its $469 million loan financing of a mixed-use development project in Queens, New York
- Represented a joint venture in its $269 million construction loan financing for a mixed-use condominium project in Manhattan
- Represented one of the largest tourism and leisure companies in Europe in the financing of a boutique hotel in Manhattan
- Represented a hotel owner in the $75 million financing of its hotel in Texas
- Represented owners in the negotiation and drafting of architecture, engineering, design and construction agreements, including not-for-profit institutions such as the Bard Graduate Center, Spence School, Cooper Union, Brooklyn Academy of Music, Brooklyn Botanic Garden, The British Memorial Garden and The Battery Conservancy
- Represented commercial landlords and tenants in the negotiation of office, retail, restaurant, supermarket, bank, school, garage, warehouse, medical and professional leases
- Represented an industrial manufacturer in its joint venture and ground lease for a cogeneration facility
- Represented a tenant in a 99-year ground lease for a building in Manhattan
- Represented a major airline in its airport and office leases in the U.S.
- Represents more than 100 condominium and cooperative boards in all matters concerning the ownership, operation and governance of their properties
