David Jargiello

David Jargiello is an attorney in Holland & Knight's San Francisco office. Mr. Jargiello advises law firms, legal services businesses, private equity investors and legal technology companies on strategic transactions and business structures where corporate and professional responsibility issues intersect. He counsels clients on law firm mergers and combinations, lateral group transactions, private investments in law firms and legal services businesses, as well as management services organization (MSO) and alternative business structure (ABS) models, including related ownership, governance and regulatory issues.

Mr. Jargiello's work in the legal services sector is grounded in more than three decades as a Silicon Valley corporate lawyer. Mr. Jargiello has represented emerging companies, venture investors and acquirers in hundreds of financings, mergers and acquisitions (M&A), securities matters and other strategic transactions.

Mr. Jargiello has served as general counsel to three law firms and a venture capital fund. He was one of 14 founding attorneys of a Silicon Valley law firm, which grew to more than 120 lawyers across four offices before merging with another Am Law firm in 2003. After the merger, he served as firmwide general counsel and a member of the management committee.

As one of the five members appointed by the California Supreme Court, Mr. Jargiello serves on the 13-member board of trustees for the State Bar of California. He is the author of Professional Responsibility for Lawyers and teaches professional responsibility at the University of California, Berkeley School of Law. Previously, Mr. Jargiello taught at Stanford Law School and served on the State Bar of California's Committee on Professional Responsibility and Conduct.
