Overview

Tyler Layne is an attorney in Holland & Knight's Nashville office. Mr. Layne has substantial experience in corporate restructurings, representing debtors, secured lenders, indenture trustees, unsecured creditors, hedge funds, purchasers and other parties in connection with bankruptcies, receiverships, out-of-court workouts, Section 363 sales, debtor-in-possession (DIP) and exit financings, and related litigation. Mr. Layne focuses his practice on healthcare restructurings, helping clients navigate the complex financial and regulatory overlay to restructurings in virtually every sector of that industry.

He also has experience negotiating and closing complex financing transactions outside of bankruptcy, including asset-based and cash flow loans, sponsor financing, seller financing and venture capital financing.

  • Represents Erlanger Health System in its evaluation of future options and the passage of a new state law authorizing the hospital to change from a governmental entity to a private, not-for-profit hospital system
  • Represents Promise Healthcare Group and its affiliates and the post-confirmation liquidating trust in their Chapter 11 cases in the U.S. Bankruptcy Court for the District of Delaware
  • Represented Huntsville Memorial Hospital in its Chapter 11 case in the U.S. Bankruptcy Court for the Southern District of Texas
  • Represented Little River Healthcare and its affiliates in their Chapter 11 cases in the U.S. Bankruptcy Court for the Western District of Texas
  • Represented the asset-based lending (ABL) agent in the Chapter 11 cases of Pipeline Health System and its affiliates in the U.S. Bankruptcy Court for the Southern District of Texas

  • Represents a private equity portfolio company in the out-of-court restructuring of its investment in a physician practice management services organization

  • Represented HCA in its acquisition of the Forest Park Medical Centers located in Frisco, Dallas, and Austin, Texas out of their Chapter 11 cases in the U.S. Bankruptcy Courts for the Northern, Eastern, and Western Districts of Texas
  • Represented Almost Family in its acquisition of home health provider MD2U and its affiliates out of their Chapter 11 cases in the U.S. Bankruptcy Court for the Western District of Kentucky
  • Assisted a 140-bed not-for-profit hospital in winding down its operations and liquidating its assets in its Chapter 7 case in the U.S. Bankruptcy Court for the Eastern District of Arkansas
  • Represented the debtor-in-possession (DIP) lender in the Chapter 11 cases of Health Diagnostic Laboratory Inc. and its affiliates in the U.S. Bankruptcy Court for the Eastern District of Virginia
  • Represented the ABL agent in connection with a $145 million revolving credit facility to a hospital system exiting bankruptcy
  • Represented the ABL agent in connection with the Wisconsin Chapter 128 receivership Fortis Management Group and its affiliates
  • Represented the ABL agent in the Chapter 11 cases of a multi-location skilled nursing facility operator in the U.S. Bankruptcy Court for the Western District of Washington
  • Represented the two largest unsecured creditors of a multi-location skilled nursing facility operator in its Chapter 11 cases in the U.S. Bankruptcy Court for the Middle District of Tennessee
  • Represented the ABL agent in the Chapter 11 cases of a multilocation skilled nursing facility operator in the U.S. Bankruptcy Court for the District of Connecticut

  • Represented Lifepoint Health in its acquisition of St. Francis Hospital, a 376-bed acute care hospital in Columbus, Georgia
  • Represented Lifepoint Health in its sale of Mercy Regional Medical Center, Acadian Medical Center, and Minden Medical Center in Louisiana
  • Represented an international critical care product supplier in structuring a $50 million senior secured credit facility
  • Represented a regional bank through the structuring and closing of a $1.7 million term loan, $6 million revolving loan, and $10.16 million mortgage loan to the owner and operator of skilled nursing facilities and a home health business
  • Represented multiple venture capital firms in the restructuring of various investments in early-stage and growth stage healthcare technology companies

  • Represents one of the largest custody wallet holders in the Chapter 11 bankruptcy proceedings of one of world's largest crypto lending institutions
  • Represented a distressed aftermarket auto parts manufacturer in its out-of-court restructuring, which involved a comprehensive debt restructuring and complex carve out sale of a business line

  • Represented the second lien indenture trustee in the Chapter 11 cases of Cobalt International Energy and its affiliates in the U.S. Bankruptcy Court for the Southern District of Texas
  • Represented the Roman Catholic Diocese of Harrisburg, Pennsylvania in its Chapter 11 case in the U.S. Bankruptcy Court for the Middle District of Pennsylvania
  • Represented a private equity firm in the exercise of remedies and ultimate Article 9 foreclosure on the assets of a health-food manufacturer and distributor
  • Represented TransPecos Banks in Chapter 11 cases of KHRL Group LLC and Papa Grande Gourmet Foods LLC in the U.S. Bankruptcy Court for the Western District of Texas
  • Represented the Zohar Funds in the Chapter 11 cases of Dura Automotive and its affiliates, successfully obtaining a transfer of the cases from the U.S. Bankruptcy Court for the Middle District of Tennessee to the U.S. Bankruptcy Court for the District of Delaware
