Overview

Bruce Merwin has more than 40 years of experience working on all types of complex real estate transactions, with a particular emphasis in construction-related transactions, office building, apartment and condominium development, industrial projects, leasing, land development projects, and the purchase and sale of unimproved and improved property. He has experience with drafting many different types of construction-related documents, including crane easements and temporary airspace use agreements. Mr. Merwin also has substantial experience in working with developers of multifamily projects, industrial projects (with private rail facilities), mixed-use projects, and assisted living centers, including Alzheimer's facilities. Mr. Merwin is Board Certified in Commercial Real Estate Law by the Texas Board of Legal Specialization. Mr. Merwin is the only attorney in Texas to be listed in both Real Estate Law and Construction Law in the 2019 edition of The Best Lawyers in America by Woodward/White Inc.

  • Represent developers and numerous major tenants in leasing and build-out of multiple floors of office buildings and build-to-suit office/warehouse projects, including tenant work letters
  • Represent borrowers in all types of real estate financing, including CMBS loans
  • Represent owners in the acquisition of land and subsequent design and construction of industrial and manufacturing projects
  • Represent portfolio sellers of apartment complexes (with defeasance requirements)

  • Represented owners, developers, architects, and contractors in drafting and negotiating more than 150 architect's and consultant agreements, construction management and general construction contracts annually, including multifamily projects, medical buildings, shopping centers, and office building projects, including LEED projects
  • Represented a major tenant at the recently opened Hudson Yards project in New York City
  • Represented the real estate affiliate of a major life insurance company investing in more than 50 development transactions in the United States with respect to design and construction contracts and related loan document provisions
  • Represented a commercial real estate investment company in connection with architect, construction, and development agreements for the construction of the first Virgin Hotel in Texas, located in the Dallas Design District
  • Represented a developer in structuring and documenting the land acquisition, financing, construction, and leasing of a multi-building medical complex in The Woodlands
  • Represented a developer in the design and construction of a surgery center, medical office building, acute care hospital, and medical office building comprising a total of 265,000 square feet in the Southlake and Fort Worth areas
  • Represented a developer in acquiring land, developing, and leasing more than 20 buildings on several 500+ acre tracts for industrial and rail-related developments, including the preparation and negotiation of rail service agreements
  • Represented architects in negotiating and drafting agreements with respect to the Houston football/rodeo stadium complex and the Houston basketball arena and related parking garage
  • Represented a land development lender on more than 500 loans and sales of participation interests
