Overview

Alejandro F. Sánchez Mújica is a business attorney in Holland & Knight's Monterrey office. Mr. Sánchez Mújica has more than 42 years of experience in national and international commercial transactions.

Mr. Sánchez Mújica has extensive experience with companies doing business in Mexico and abroad to address business expansion issues. He has been involved in multiple purchases and sales of commercial and service companies and assets in various industries and led the most emblematic financial restructuring in Mexico. His professional practice focuses on corporate finance, project finance, mergers and acquisitions (M&A), corporate governance, shareholding and corporate structures, capital markets and private equity.

In addition to his legal practice, Mr. Sánchez Mújica serves on various boards of directors of Mexican and foreign companies and associations and has received numerous recognitions throughout his long career.

Mr. Sánchez Mújica has been the leading counsel of several legal departments of some of the largest corporate companies listed on the Mexican Stock Exchange.

Prior to joining Holland & Knight, Mr. Sánchez Mújica was in-house counsel for one of the world's largest glass producers for eight years; in-house counsel for a large Mexican conglomerate involved in the insurance, agrobiotechnology, telemarketing, financing and construction areas for more than 11 years; and in-house counsel for another large Mexican corporation involved in the petrochemical, pharmaceutical, agribusiness and pharmochemical industries for more than seven years.

 

Representative Experience

  • Defended a biotech company engaged in the design of alternative fuels in alleged destruction of intellectual property (IP)

  • Represented a foreign agent of a bank syndicate in the out-of-court restructuring involving debt of MX$3.1 billion
  • Represented a Mexican cattle and meat packaging company preparing a Concurso proceeding
  • Lead counsel to a public Mexican company in its cross-border restructuring proceedings in Mexico and the U.S. for an aggregate amount of $3.41 billion, including the design and implementation of the issuance of approximately $900 million in new notes and convertible debentures in exchange for an old debt of the company; during this process, the company was able to maintain its directors and officers
  • Lead counsel in the restructuring of a debt of more than $1 billion without the need to carry-out a litigious process, which required the issuance of the public debt
  • Advised a Singapore corporation in regards with the potential bankruptcy of its main Mexican client
  • Advised a Mexican corporation on its claims related with certain derivative transactions
  • Counseled a Mexican conglomerate in its debt restructuring, which included the sale of its principal subsidiaries
  • Advised a Mexican public holding corporation in the restructuring of its debt

  • Represented a wind farm in Phase 1 of a 1,000-megawatt (MW) project in the acquisition of wind turbines and the negotiation of full-service agreements for a project in Parras, Coahuila, Mexico
  • Counsel to a solar energy developer in the development and permitting of distributed solar projects in rural areas
  • Counsel to a Mexican bank regarding the financing for one of the largest solar power plants that was going to be built in Latin America

  • Represented an asset manager based in Washington, D.C., focused exclusively on emerging markets lobbying efforts before the National Banking and Securities Commission to improve corporate governance practices for companies listed in the Mexican Stock Exchange
  • Represented an investment banking division in structured financing for the purchase and sale of foreign currency
  • Represented a telecommunications company in the securitization of its accounts receivable in the Mexican Stock Exchange
  • Advised in the design of a financial structure by which a U.S. entity can provide financing to agricultural product growers and producers in Mexico
  • Advised a municipality in the implementation of a public procurement tender for the acquisition of electricity for street lighting
  • Advised a municipality in the design of a public procurement process through a public-private partnership for electricity supply
  • Advised an offshore service company in financing transactions of more than $500 million for the development, design, construction and/or maintenance of offshore pipeline laying
  • Advised one of the world's largest oil field service companies in the execution of an uncommitted receivables purchase agreement of more than $89 million regarding with a governmental owned company’s accounts receivable
  • Advised a real estate developer in the execution of a loan agreement with one of the largest Mexican banks for an aggregate amount of up to $1.3 billion Mexican pesos
  • Counsel to a Mexican holding company in the execution of several loans up to $1 billion with different banks
  • Counsel to a U.S. public company (a subsidiary of a Mexican conglomerate) in its execution of a credit line in excess of $350 million
  • Lead counsel regarding the incorporation of a private equity fund with an initial investment portfolio of $200 million

  • Advised a Spanish renewable company in a project financing of more than $18 million for the development of a solar farm
  • Represented a French multinational electric utility company in the drafting, negotiation and instrumentation of structured financing with a binational financing entity  as lead arranger for the developing, constructing and operating a legacy 100 megawatt (MW) photovoltaic project in northern Mexico
  • Advised a bank in electricity regulatory, banking and public procurement matters for the expansion of a public-private partnership for the electricity supply for the municipality of Aguascalientes
  • Counseled a real estate developer in securing mezzanine financing with a multi-asset class real estate private equity fund in Mexico for an aggregate amount of up to $500 million Mexican pesos

  • Counseled in the design, negotiation and documentation of the securitization of accounts receivable of a Mexican public company; the operation included the issuance and public placement of preferred stock certificates and the issuance and private placement abroad of subordinate certificates
  • Counseled in the design, negotiation and documentation of the securitization of accounts receivable of four subsidiaries of a Mexican public company; the operation included the issuance and private placement abroad

  • Represented a biotech and agribusiness company in the design and implementation of joint venture alternatives to attract potential investors to help in the acquisition of real estate assets
  • Represented a group of investors in their divestment for a pair of real estate companies
  • Represented private Mexican and foreign investors in a sale of an office building for $205 million Mexican pesos
  • Counseled in the development of a 2.5 million-square-foot shopping center, proposed to be the largest in Mexico in terms of retail space; located in Tijuana, Baja California

  • Advised a Mexican and U.S. customs broker in the potential sale of the business to one of the largest customs brokers in North America
  • Represented a major wind developer in the sale of a 120 megawatt (MW) wind farm as well as the structuring of its power sales agreements, lease agreements, right-of-way agreements and shareholders agreements
  • Represented a Mexican holding company in the sale of an insurance company to a Dutch-based insurance company for $791 million
  • Advised a product engineering services and embedded software firm in a $63 million sale of substantially all of its Mexican and U.S. assets
  • Represented a Mexican holding company in the sale of a Mexican cigarette company to a foreign tobacco company for $1.5 billion
  • Counseled a Mexican holding company in the sale of one of its U.S. affiliates to a U.S.-based private investment fund for $1.4 billion
  • Counseled a Mexican holding company in the sale of its biotechnology corporation
  • Counseled a Mexican holding company in the sale of a packaging company for $285 million
  • Counseled a Mexican holding company on the merger between one of its subsidiaries and a U.S.-based plant technology corporation

  • Counseled the sale of a Mexican software company to one of the largest U.S. corporations

  • Counseled a joint venture in Mexico between a subsidiary of a Mexican public company and one of the world's largest pharmaceutical companies
  • Counseled a Mexican joint venture between a subsidiary of a Mexican public company and one of the world's largest producers of carbon black
  • Advised a renewable energy developer in its joint venture with a leading global renewable energy company to develop renewable energy projects of more than 500 megawatts (MW) in México
  • Representation of a Mexican public company, in the execution of a shareholders agreement with two relevant and potentially hostile shareholders to establish certain provisions to 1) unify the use of the voting rights of their shares, except for certain significant matters, 2) regulate the transfer of such shares and 3) avoid litigation
  • Successfully represented a high-ranking public company officer against a white collar crime accusation for failing to disclose relevant information to the Mexican Stock Exchange
  • Advised the largest Central American beer producer and provided a legal opinion concerning their dispute with the world's largest brewer
  • Advised in the negotiation of a settlement agreement with an international pharmaceutical company arising out of a post-closing adjustment amount in the sale of a subsidiary in Chile
  • Counseled a Mexican public holding company for the delisting of one of its subsidiaries in the Mexican stock exchange
  • Revamping of the corporate governance of a Mexican public company, which allowed it to be publicly recognized as one of the best in such area
