Overview

Bruce Toppin is a partner in Holland & Knight's Financial Services Practice Group. Mr. Toppin primarily represents financial institutions on a wide range of corporate, securities, bank regulatory and general business matters.

Mr. Toppin has extensive experience representing banks, thrifts and other financial institutions on mergers and acquisitions (M&A), debt and equity securities offerings, complex financing transactions, business expansions and other related matters. In addition, he regularly counsels financial institution clients on matters involving federal and state banking laws and regulations and regulatory agencies regarding regulatory applications, examinations, formal and informal enforcement actions, and regulatory compliance.

Mr. Toppin is often called on to act as outside general counsel for community banks and bank holding companies, advising on corporate governance, capital and strategic planning, contract negotiation, cybersecurity and data privacy, and other general business matters. He also frequently advises and assists investor groups, boards of directors, management teams and shareholders on matters involving fiduciary duties, ownership succession, executive compensation, enforcement actions and director and officer liability.

In addition to his legal practice, Mr. Toppin speaks and writes regularly on a wide variety of topics related to corporate, bank regulatory and securities matters.

While in law school, Mr. Toppin served on the editorial board of the St. Mary's Law Journal. Prior to law school, he gained valuable industry experience working for a community bank in Lubbock, Texas, and later for a large national bank in its Dallas offices.
