Kisha R. Wilson is a Boston intellectual property (IP) attorney who helps clients harness the power of emerging technologies while navigating the legal risks that come with innovation.   • Drafting and negotiating numerous technology license agreements, for clients ranging from global financial institutions, national security service providers, startup enterprises, Software as a Service (SaaS) providers, educational institutions, retirement systems and life sciences companies
  • Drafting documentation for and advising a software provider on the structuring and negotiation of licensing and privacy agreements for a SaaS-hosted platform with government and global clients
  • Drafting and negotiating various End User License Agreements and Terms of Service

  • Developing artificial intelligence (AI) guidelines and procedures for a top private university
  • Developing a partnership agreement to support AI collaborations for a defense software company
  • Negotiating numerous vendor agreements involving the deployment of AI tools

  • Preparing and implementing a records management policy and a set of procedures for a real estate private equity firm with real estate assets in excess of $7.5 billion

  • Advising on intellectual property (IP) and information technology (IT) issues for numerous merger and acquisition (M&A) transactions, including stock and asset purchases, platform acquisitions and strategic investments
  • Drafting and negotiating IP and IT related provisions in purchase agreements, disclosure schedules and coordinating with internal and external counsel across industries such as IT services
  • Preparing and filing assignment documentation for IP assets in connection with strategic transactions to support compliance with formal requirements and coordinating timely filings with the appropriate government authority to support closing timelines and maintain proper chain of title

  • Drafting and negotiating numerous agreements to facilitate the exchange of data, including complex deals to enable integration of technology products and vendor data protection addenda for a top communications provider
  • Counseling on product and partnership development, including early-stage identification of risks and implementation of privacy-by-design principles for a multinational retail store
  • Supporting the development and implementation of children's privacy frameworks for a global entertainment company by collaborating with cross-functional teams to ensure readiness for partner communications and strategic positioning
  • Drafting client-specific advisory information related to emerging regulations, guidance and enforcement actions to support client strategic position and product development goals
