Growing IT Market-Share

When CGI Group Inc., one of the largest information technology and business process services firms in the world, wanted to expand its footprint within the United States, it looked to Stanley Inc., a premier provider of information technology services to U.S. defense, intelligence and federal civilian government agencies.

Holland & Knight represented CGI in the transaction, which enables CGI to grow its U.S. market share and provides Stanley with global growth opportunities. CGI acquired Stanley through a cash tender offer at $37.50 per share in a deal valued at approximately $1.07 billion. The transaction was funded from CGI’s cash on hand and existing credit facilities. Stanley became part of CGI Federal Inc., a wholly-owned subsidiary of CGI.

Members of our team helped negotiate the transaction and assisted CGI through the regulatory process, including actions with the Securities and Exchange Committee, the Department of Transportation and the Federal Trade Commission. We also defended and ultimately settled the lawsuit challenging the transaction.
