Overview

Joshua Cohn is an attorney in Holland & Knight's New York and Boston offices. Mr. Cohn advises clients on complex construction and commercial transactions, as well as throughout the dispute resolution process. He also provides project counsel across the entire project life cycle, including guidance during challenging procurement and contract negotiation phases, and in resolving disputes as they arise.

Mr. Cohn assists clients in negotiating agreements for professional services – including engineering and architectural design – and construction management services. He represents clients in all phases of dispute resolution, including mediation, arbitration, administrative hearings and litigation in state and federal courts. He regularly advises on strategy, risk management, contract compliance and regulatory matters.

Mr. Cohn serves clients across a wide range of industries, including construction, energy, government contracting, infrastructure, real estate (commercial and multi-family residential), data centers, hospitality, healthcare and manufacturing, representing clients in transactional and litigation matters nationwide.

Prior to joining Holland & Knight, Mr. Cohn worked for a state attorney general's office, representing government agencies in construction and transportation-related matters. As deputy attorney general, his practice included complex construction litigation involving roads, bridges, buildings and utilities. He also provided procurement advice, agreement review, public records representation, regulatory and legislative guidance, and general agency counsel. Mr. Cohn is experienced in representing clients in administrative proceedings, mediations, trials and appeals.

During law school, Mr. Cohn interned for the Honorable Michael A. Shipp of the U.S. District Court for the District of New Jersey and was a member of the Seton Hall Legislative Journal. After law school, he clerked for the Honorable Donald A. Kessler of the Chancery Division of the Superior Court of New Jersey.

Representative Experience

  • Guided multiple energy providers in negotiating engineering, procurement and construction (EPC) contracts for new renewable natural gas (RNG) facilities
  • Negotiated design and construction contracts for a healthcare technology company related to a $200 million office buildout and renovation
  • Advised a property manager on ongoing construction projects for both currently owned and newly acquired properties
  • Provided an industrial manufacturer with ongoing advice and general counsel services in connection with numerous construction and commercial transactions supporting multiple manufacturing facilities in the U.S.
  • Assisted a hospitality client in implementing an electric vehicle (EV) charger station program across nationwide hotel properties
  • Prepared contracts for the construction of new children's hospital facilities
  • Advised a public entity during the procurement phase of a billion-dollar infrastructure project
  • Represented project owners in negotiating agreements for design (engineering/architecture), EPC contracts and construction management services on commercial, residential, industrial, infrastructure and energy projects of varying sizes and complexity

  • Advised contractors in upstream and downstream negotiations with owner clients and subcontractors
  • Guided contractors through negotiations and regulatory processes for transactions with federal, state and municipal government agencies

  • Negotiated a project workout agreement on behalf of a contractor following a $7 million dispute
  • Represented a renewable energy contractor in arbitrating a dispute with a subcontractor concerning a high-profile offshore wind project
  • Advised a government contractor in connection with a $100 million claim against a subcontractor
  • Guided a project owner through a performance bond claim and surety negotiation following a contractor bankruptcy
  • Secured a permanent injunction in state court in connection with a bid protest on behalf of a government service provider
  • Represented an international light rail vehicle manufacturer in arbitration concerning equipment supplied for a state-owned public transportation system's railcars
  • Represented contractors on federal projects in disputes with owners and subcontractors, including the preparation of requests for equitable adjustment (REAs), and claims in federal court, the U.S. Court of Federal Claims and before the Armed Services Board of Contract Appeals (ASBCA)
  • Advised project owners and contractors in construction disputes involving allegations of nonpayment, delay and defective workmanship
