Overview
Abbey Ruby brings insight to lenders, agents, private equity sponsors and corporate borrowers in complex financings and related transactions, including general corporate lending transactions, acquisition financings, first and second lien facilities, bridge loan facilities, mezzanine loans, asset-based lines of credit, real estate and construction financings, capital call/subscription facilities, restructurings and workouts.
Ms. Ruby represents global, national and regional lenders, agents and borrowers and lenders in finance transactions spanning a wide range of industries, with particular emphasis on healthcare including loans to owners and operators of skilled nursing and other senior living facilities. Her experience also includes cross-border and multi-currency facilities, as well as advising private equity firms and their portfolio companies on a wide variety of financing transactions. She has also represented real estate developers in transactions including tax credit programs and capital raised under the EB-5 Immigrant Investor Program.
In 2018, Ms. Ruby was recognized by M&A Advisor with an Emerging Leader award for her work in acquisition financing and turnaround transactions. Previously, she was a principal in the Washington, D.C., office of Miles & Stockbridge after beginning her legal career in the New York offices of international law firms, where she gained valuable experience in complex leveraged finance and capital markets transactions.

- Represented agent and lenders in a $45 million accounts receivable loan to 32 skilled nursing facilities (SNFs) and assisted living facilities (ALFs) in 6 states
- Represented the lender in $68.5 million in term, accounts receivable loans to the owners and operators of multiple skilled nursing facilities in Georgia
- Represented a regional bank in providing an asset-based loan for a new operator of a skilled nursing facility in Florida
- Represented a regional bank in providing bridge and accounts receivable loans to finance the acquisition of a Maryland skilled nursing facility
- Represented a lender in providing $50 million in term and accounts receivable loans to finance the acquisition and operations of three skilled nursing facilities in Florida
- Represented a regional bank in providing a $2.5 million asset-based loan to a skilled nursing facility operator in Rhode Island
- Represented a bank in providing a $40 million asset-based loan to finance the acquisition and operations of 28 skilled nursing and assisted living facilities in five states in a multi-stage transaction
- Represented a lender in a $15 million asset-based revolving line of credit to finance the acquisition of five skilled nursing facilities located in Florida
- Represented a lender in a $14 million bridge loan to finance the acquisition of a Tennessee skilled nursing facility
- Represented a regional bank in providing a $2 million accounts receivable loan to finance the acquisition of two recently-acquired skilled nursing facilities in Georgia
- Represented a specialty lender in the acquisition financing for a Pennsylvania skilled nursing facility
- Represented the lender in $144 million in bridge, accounts receivable loans to the owners and operators of multiple skilled nursing and assisted living facilities in Virginia
- Represented the lender in $17.8 million bridge loan to refinance a Michigan assisted living facility
- Represented the lender in $20.5 million in bridge and accounts receivable loans to the owner and operator of a New Jersey skilled nursing facility
- Represented a specialty lender in providing $89 million in first and second lien bridge loan to refinance the existing debt of two assisted living facilities located in Brooklyn and Queens, N.Y.
- Represented the agent and lenders in a $20 million asset-based revolving loan facility to the operators of 19 skilled nursing and assisted living facilities in Colorado
- Represented the lenders in a $114 million term loan and $12 million accounts receivable loan to finance the acquisition and operations of 14 senior housing facilities in Washington, Idaho and Oregon
- Represented a lender in a term loan to finance the acquisition of a Massachusetts Continuing Care Retirement Community out of Bankruptcy
- Represented a regional bank in providing a $2 million bridge loan to a real estate developer to finance the acquisition of a detox center in Colorado
- Represented a regional bank as lender in providing a $3.5 million senior credit facility to finance acquisition by a private equity company of a manufacturing company
- Represented a specialty lender in an approximately $25 million construction loan to finance construction of a mixed-use historic rehabilitation project in South Carolina, secured by a first lien mortgage
