Overview

Camilo Gantiva Hidalgo is a business attorney in Holland & Knight's Bogotá office. Mr. Gantiva Hidalgo focuses his practice on all aspects of capital markets transactions as well as a variety of banking and financial regulatory and compliance issues.

Mr. Gantiva Hidalgo advises clients on a wide range of matters, including initial public offerings (IPOs), offering of securities, securitizations, the incorporation and operation of financial institutions, private equity funds, derivatives, financial technology (FinTech) and green and sustainable finance.

Prior to joining Holland & Knight, Mr. Gantiva Hidalgo was an attorney at an international legal and tax services firm in its Bogotá office. He also worked at a multinational company engaged in the energy generation industry.

In addition to his legal practice, Mr. Gantiva Hidalgo serves as a professor of capital markets and securities regulation at Pontificia Universidad Javeriana and of capital markets and trusts at Universidad del Rosario.

Representative Experience

  • Adviser to two investment banks as investors and structuring agents in three private placements of sustainable notes in international markets to purchase a bus fleet for the bus rapid transit (BRT) system in Bogotá; the concessionaires obtained funding for US$170 million
  • Legal adviser to a Colombian bank in the structuring of a program to issue ordinary and social bonds with an amount of CO$400 billion; also advised in the first offering of social bonds under such program, registered at the Registro Nacional de Valores y Emisores (RNVE) and in the Colombian Securities Exchange under the program with partial guarantee for an amount of CO$150 billion
  • Adviser to a Colombian bank in the structuring of a program to issue ordinary and social bonds with an amount of CO$750 billion; also advised in the first offering of secured bonds under such program, registered at the RNVE and in the Colombian Securities Exchange under the program for CO$130 billion
  • Counseled a Colombian financial entity in the structuring of a public offering of social bonds, registered at the RNVE and in the Colombian Securities Exchange as main investor of a multilateral institution; the offering had a value of CO$150 billion

  • Adviser to the issuers – a telecommunications company and some affiliates in Colombia, Perú and Chile – in a syndicate offering of secured notes offered under Rule 144A/Regulation S; the notes are listed in Ireland and have a total value of US$375 million; the deal was named Telecom Financing of the Year by LatinFinance magazine
  • Adviser to the District of Bogotá in the amendment of its program of bonds to increase the amount to CO$6.5 billion; also advised in the offering of bonds under such program, registered at the Registro Nacional de Valores y Emisores (RNVE) and in the Colombian Securities Exchange under the program for CO$1 billion
  • Legal adviser to a Colombian development bank and a transportation company in Bogotá in the structuring of securities (títulos de pago por ejecución or TPEs) to finance the construction of the first line of Bogotá's metro line; the securities were secured by the Colombian national government for CO$2.4 billion
  • Adviser to a Colombian financial entity in the structuring of guarantees to bonds issued to qualified investors (segundo mercado)
  • Adviser to a Colombian bank in the structuring and public offering of bonds registered at the RNVE and in the Colombian Securities Exchange for CO$150 billion
  • Adviser to a Colombian bank in the structuring of a program to issue bonds worth CO$500 billion; also advised in the first offering of bonds registered at the RNVE and in the Colombian Stock Exchange under the program
  • Adviser to two international banks and an investment firm in the private placement of notes to refinance the debt of a Colombian airport under Rule 4(a)(2) for US$415 million
  • Assisted with offering of payment-in-kind (PIK) toggle notes by a multinational in the gaming and leisure sector in Spain and in Latin America, valued at 400 million euros
  • Assisted with offering of bonds by a multinational in the gaming and leisure sector in Spain and in Latin America under Rule 144A/Regulation S with two tranches, one for 490 million euros and another for 390 million euros
  • Assisted with public offering of bonds by a Colombian bank registered at the RNVE and in the Colombian Stock Exchange; valued at CO$150 billion
  • Assisted with offering of bonds by a multinational in the gaming and leisure sector in Spain and Latin America under Rule 144A/Regulation S for 663 million euros
  • Assisted with offering of bonds by a non-regulated credit originator under Rule 144A/Regulation S for US$300 million
  • Adviser to a Colombian bank in the public offering of secured bonds, with guarantee issued by a multilateral development bank; valued at CO$100 billion

  • Adviser in the offering of securities under Tranche 2 of a securitization program of real estate; the securities, valued at CO$2 billion, are registered at the Registro Nacional de Valores y Emisores (RNVE) and in the Colombian Stock Exchange
  • Adviser to a Colombian credit originator in the securitization of payroll loans directed to qualified investors; the securities, valued at CO$150 billion, were registered at the RNVE and in the Colombian Stock Exchange
  • Adviser to a multinational company focused on the selling of trucks, buses and other transportation services in the securitization of future cash flows from the concession agreement entered by and between bus operators and the public transportation system in Bogotá; the securities, valued at CO$373.77 billion, were registered at the RNVE and in the Colombian Stock Exchange
  • Adviser to a financial entity in Colombia focused in securitization in the structuring of a securitization program over real estate assets; the securities, valued at CO$2 billion, were registered at the RNVE and in the Colombian Stock Exchange

  • Legal adviser to a Colombian development bank and a transportation company in Bogotá in the negotiation and closing of loans with multilateral institutions to finance the first line of Bogotá's metro line; the loans were entered with three different multilateral development and investment banks; the transaction was named 2019 Deal of the Year by LatinLawyer
  • Adviser to a financial technology (FinTech) company originating loans in raising up to US$10 million in debt funding from an investor in small business to support Colombia's unbanked population
  • Adviser to payment networks on regulatory matters in Colombia
  • Adviser to payment service providers in entering the Colombian market
