In the Loop: New Wave of Antitrust Bills Gathers

Healthcare Transactions attorney John Saran was quoted in a Private Funds CFO article on increasingly aggressive state antitrust and healthcare transaction reporting bills targeting private equity and other corporate interests. The article highlighted proposals in Vermont, Washington, Pennsylvania and Arizona, as well as Maine commission recommendations that would expand state approval and review requirements and impose structural restrictions on healthcare deals, raising compliance risks for multistate platforms. Mr. Saran commented on the "Independent Dental Practice Act" model legislation from the American Economic Liberties Project that, if adopted by states, would significantly hamper dental support organization (DSO) operations and could be expanded to cover other types of enterprises.

"It is one of the most aggressive proposals out there," he said. "I mean, a lot of folks thought the Oregon bill was aggressive because it required changes to the business model. But it didn't necessarily kill the business model. This model act, if a state were to adopt it, it would essentially destroy the dental service organization model in that state."
