Adam D. Matherly

Adam Matherly is a corporate attorney in Holland & Knight's Seattle office. Mr. Matherly focuses his practice on representing emerging high-technology companies and venture capital investors.

Mr. Matherly routinely assists with financing transactions and mergers and acquisitions (M&A). He regularly serves as outside general counsel for emerging companies, assisting with initial business structuring and organization, securities issuances, equity incentive plans, corporate governance, commercial agreements and reorganizations.

In addition, Mr. Matherly counsels clients on a wide range of intellectual property (IP) matters, including leading complex licensing and technology transfer transactions as well as the prosecution and enforcement of trademarks, copyrights and patents.

Outside of his focus on early-stage ventures, Mr. Matherly represents long-standing, family-owned businesses in the manufacturing, security and commercial fishing industries. He also serves as outside general counsel to family offices and restaurant franchisees.

Prior to joining Holland & Knight, Mr. Matherly was a partner at a Seattle-based law firm, where he led its Emerging Company & Venture Capital practice. Before that, he managed his own law firm, where he served as outside general counsel for high-technology companies and concurrently managed the daily operations of a client aerospace tooling company as its vice president and chief operating officer (COO).
