Lawyer Ethics, Risk Management and Regulation

  • Our Legal Profession Team helps lawyers do what they do best – practice law for their own clients – without running unnecessary civil, ethical and criminal risk.
  • We service lawyers, law firms, legal departments, legal technology companies, management services organizations (MSOs), investors and stakeholders in accomplishing this goal.
  • Our attorneys have an in-depth understanding of the full range of problems lawyers of all practice types face, and we advise on how best to prevent those problems or resolve them before they escalate, accessing the broad array of experience and practice areas across Holland & Knight.

Overview

With its focus on advising lawyers, law firms and legal departments to operate safely, efficiently and effectively, Holland & Knight's Legal Profession Team is one of the most respected in the country. We help clients navigate the full range of professional responsibilities, including traditional legal ethics and risk management, as well as emerging areas such as litigation funding, legal technology ventures, and alternative business structure (ABS) and management services organization (MSO) models. Our established, results-oriented approach helps clients identify, review and circumvent unfavorable conditions, often before problems arise.

Leveraging our team's deep litigation experience and insight into the law of lawyering, we also stand alongside our clients in disqualification motions, sanctions, attorney-client privilege challenges, conflict issues and other high-stakes disputes. For matters in which we are not counsel of record, we also provide expert testimony.

As seasoned attorneys in the legal professional responsibility and ethics fields with an in-depth understanding of the art and science of lawyering, we bring this experience to both traditional and emerging areas of law. Our experienced professional responsibility attorneys are respected authors and lecturers who have co-authored influential texts in this important area, including The Law of Lawyering, authored by a retired Holland & Knight partner.

Professional Responsibility Strength in Your Corner

We have extensive experience and deep insight to adeptly guide our clients through legal ethics, risk management and disciplinary defense matters, helping to bring peace of mind in even the most difficult situations. Our team has a substantial background representing law firms of all sizes, in-house legal departments, state bar and governmental bodies, government officials and attorneys. We regularly assist clients in international, national and local matters.

ABS and MSO Advisory Services

We counsel law firms and investors on ABS and MSO arrangements, including compliance, structuring and strategic growth opportunities. Our Legal Services Transactions Team helps ensure independence and regulatory adherence while supporting operational and financial goals. We also advise on governance, partnership arrangements and best practices for integrating ABS and MSO models into existing law firm operations.

Legal Technology and Investor Guidance

Our attorneys work with legal technology companies and investors on market entry, strategic partnerships and compliance considerations. We help identify risks, advise on regulatory requirements, and optimize ethical and operational frameworks for emerging legal tech ventures. Additionally, we assist with due diligence, product structuring and navigating professional responsibility issues unique to technology-enabled legal services.

Litigation Funding Advisory Services

Our team advises law firms, investors and stakeholders on litigation finance arrangements, structuring investments and navigating regulatory considerations. We provide skilled counsel on ethical issues, investor rights and compliance matters to ensure that all parties can pursue opportunities while minimizing risk. We also help clients evaluate funding structures, negotiate terms and anticipate legal or regulatory challenges that may arise in complex litigation finance transactions.

Keeping Clients Current Through Private Presentations

In the course of our many CLE presentations, we have learned that it can be difficult or impossible for an audience member with a specific set of questions or issues to ask about them at a public CLE event.

Our team therefore offers legal ethics and lawyer risk management CLE presentations on a private, in‐house or law firm‐specific basis. This empowers attendees to speak freely and enables our team to focus on the topics that are most crucial to our audience. In addition, lawyer travel time, related costs and disruption are minimal because we hold presentations at our clients' offices or by video conference.
