Nathan "Nate" A. Adams IV is a partner practicing in complex commercial and appellate litigation, including class action defense and arbitration in a wide variety of industries but has a particular emphasis in healthcare, education, hospitality, and nonprofit and religious organizations. Dr. Adams litigates commercial, healthcare, labor and employment, constitutional and electoral disputes. He has argued in federal courts nationwide and in state courts in Florida, Colorado and the District of Columbia.

Dr. Adams is active on Holland & Knight's Florida Government Advocacy Team, especially as it relates to public regulatory matters and investigations. This includes adverse agency action, consumer complaints, and data privacy and breach investigations. He is also a member of Holland & Knight’s COVID-19 Response Team and assists hospital systems and large physician practice groups, the hospitality industry, and nonprofit institutions, including universities and colleges, with a variety of matters related to the recent pandemic.

In addition, Dr. Adams serves as outside legal consultant and general counsel for several organizations. In this capacity, he assists with governance, employment, privacy, and compliance matters, provides legal opinions and consults with management on strategic initiatives.

Dr. Adams is the Chair of the Florida Bar Education Law Committee, and he one of only 52 Florida Bar Board Certified Education Lawyers.

Before joining Holland & Knight, Dr. Adams worked for the Florida Executive Office of the Governor and supervised several state agency legal departments, besides assisting with emergency management and judicial appointments. Dr. Adams also served as counsel for the Florida Board of Governors and Division of Florida Colleges.

  • Structuring, licensing and accrediting post-secondary institutions and support organizations such as research and development foundations, as well as defending adverse licensure and accreditation actions 
  • Advising educational institutions and direct support organizations, including academic medical centers, on compliance with Title IV, VI, VII and IX and sovereign immunity, and conducting related investigations and litigation 
  • Assisting investors with sales, mergers and acquisitions of educational institutions and related nonprofit organizations
  • Advising on cyber breach prevention, reporting, litigation and crisis management 
  • Reviewing and defending First Amendment and admissions policies 
  • Consulting and litigating with respect to online education, Family Educational Rights and Privacy Act (FERPA) compliance, public records and ethics, records management and Florida Sunshine Law cases 
  • Litigating and appealing class action student, adequacy and uniformity, and educational governance lawsuits 

  • Assisting hotels, restaurants, real estate investment trusts (REITs), retail and the cruise line industry with legal compliance, funding and reopening, and Deceptive and Unfair Trade Practices Act (DUTPA) issues related to COVID-19
  • Defending restaurants and hotels concerning Title VII, Age Discrimination in Employment Act (ADEA), Americans with Disabilities Act (ADA) and other employment discrimination, retaliation and class action litigation 
  • Defending publicly-traded hospitality companies in securities class action litigation 
  • Defending Equal Employment Opportunity Commission (EEOC) pattern and practice directed investigations

  • Structuring mergers, acquisitions and sales of domestic and international ministries and faith-based public contracts and grants 
  • Assisting organizations with tax-exempt structuring, applications, re-classifications and support organizations, as well as donor agreements and cy pres litigation

  • Assisting with legal audits and policies pertaining to public accommodations, codes of conduct, alternative dispute resolution, volunteers, safety and counseling 
  • Consulting on tax-exempt bond and tax credit financing and preparing related opinions 
  • Assisting with governance and board issues, including church property disputes and modifications to bylaws and articles of incorporation 
  • Representing ministries in litigation, appeals and religious conciliation proceedings
