Holland & Knight Advises Maximus on Strategic Acquisition of Agile Defense

TYSONS, Va. (October 21, 2026) – Holland & Knight represented Maximus (NYSE: MMS), a leading provider of artificial intelligence (AI) and tech-enabled government services, on its definitive agreement to acquire Agile Defense LLC and certain of its affiliates. The agreement has a cash purchase price of $660 million, subject to adjustments, with potential additional contingent consideration tied to achieving certain performance objectives after closing. The deal was announced on October 19 and is expected to close in the last quarter of 2026, subject to regulatory approvals and customary closing conditions.

The acquisition will advance Maximus' defense and national security growth strategy through Agile Defense's highly specialized cybersecurity, digital transformation, data analytics and artificial intelligence expertise delivered to defense, intelligence and other federal government customers. Agile Defense is backed by Enlightenment Capital.
